By accessing or using TekRoute's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all visitors, users, and clients who access or use our services, including: • Grant writing and funding consultation • Website design and development • IT transformation and consulting services • Digital resources and downloadable materials We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.

TekRoute provides professional consulting services including: **Grant Writing Services:** • Grant opportunity research and identification • Proposal writing and editing • Application submission support • Post-award grant management consultation **Website Development:** • Custom website design and development • E-commerce solutions • Website maintenance and updates • SEO optimization **IT Transformation:** • Technology assessment and planning • Cloud migration services • Cybersecurity consulting • IT infrastructure modernization All services are provided on a project basis with specific deliverables, timelines, and pricing agreed upon in writing before work commences.

**Pricing & Quotes:** • All prices are quoted in Canadian Dollars (CAD) unless otherwise specified • Quotes are valid for 30 days from the date of issue • Prices may vary based on project scope and complexity **Payment Schedule:** • Grant Writing: Typically 50% deposit, 50% upon completion • Website Projects: 40% deposit, 40% at milestone, 20% upon completion • IT Services: Monthly billing or milestone-based as agreed **Payment Methods:** • Credit/debit cards (Visa, Mastercard, American Express) • Bank transfers • E-transfers **Late Payments:** • Invoices are due within 15 days unless otherwise specified • Late payments may incur a 2% monthly interest charge • Work may be paused on accounts 30+ days overdue

**Client Ownership:** Upon full payment, clients receive full ownership of: • Custom website designs created for their project • Written grant proposals and applications • Custom documentation and deliverables **TekRoute Retains:** • Proprietary methodologies and frameworks • Templates and reusable components (non-client-specific) • Portfolio rights to showcase completed work (unless otherwise agreed) **Third-Party Assets:** • Licensed stock images, fonts, and plugins remain subject to their respective licenses • Clients are responsible for maintaining any required third-party subscriptions **Portfolio Usage:** TekRoute may feature completed projects in portfolios and marketing materials unless a confidentiality agreement is in place.

**Service Limitations:** • Grant writing services do not guarantee funding approval • Success rates are based on historical data and are not guarantees • Website performance depends on various factors including hosting and content **Maximum Liability:** TekRoute's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service in question. **Exclusions:** We are not liable for: • Indirect, incidental, or consequential damages • Lost profits or business opportunities • Data loss or security breaches beyond our control • Third-party service failures • Force majeure events **Client Responsibilities:** Clients are responsible for: • Providing accurate and timely information • Reviewing and approving deliverables • Maintaining their own data backups

**Revision Policy:** • Each project includes a specified number of revision rounds • Additional revisions may incur extra charges • Revisions must be requested within 14 days of deliverable submission **Cancellation by Client:** • Written notice required for all cancellations • Deposits are non-refundable for work already completed • Cancellation fees may apply based on project stage: - Before work starts: Full deposit refund minus 10% admin fee - Work in progress: Payment for completed work + 20% of remaining contract - Near completion: Full payment required **Cancellation by TekRoute:** We reserve the right to terminate services if: • Client fails to pay invoices on time • Client provides false or misleading information • Client engages in abusive or unethical behavior • Project scope changes significantly without agreement

**Informal Resolution:** We encourage clients to contact us directly to resolve any concerns. Most issues can be resolved through open communication. **Mediation:** If informal resolution fails, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing legal action. **Governing Law:** These terms are governed by the laws of British Columbia, Canada. Any legal proceedings shall be conducted in the courts of British Columbia. **Arbitration:** For disputes exceeding $10,000 CAD, binding arbitration may be required under the British Columbia Arbitration Act. **Time Limitation:** Any claim must be filed within one (1) year of the event giving rise to the claim.

You agree not to use our services or website to: • Violate any applicable laws or regulations • Infringe on intellectual property rights • Transmit harmful code, viruses, or malicious content • Attempt unauthorized access to our systems • Harass, abuse, or harm others • Submit false or misleading information • Compete directly with TekRoute using our materials • Resell or redistribute our services without authorization **Content Standards:** Projects involving the following will not be accepted: • Illegal activities or products • Hate speech or discriminatory content • Adult content or gambling • Misleading or fraudulent schemes • Violation of third-party rights Violation of these terms may result in immediate termination of services without refund.
